1. Agreement to Terms

By accessing or using Vidito ("the Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Vidito, a company operating under the laws of the United Kingdom.

2. Description of Service

Vidito is an AI-powered platform that helps YouTube content creators generate video ideas. The Service includes:

• • Virality scoring to predict content performance
• • Channel and video management tools
• • Usage tracking and subscription management
• • Access to idea history and analytics

3. User Accounts

3.1 Registration

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Responsibilities

You agree to:

• • Maintain the security of your password
• • Notify us immediately of any unauthorized use of your account
• • Not share your account with others
• • Not create multiple accounts to circumvent usage limits

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our sole discretion.

4. Subscription Plans and Billing

4.1 Subscription Tiers

Vidito offers the following subscription plans:

• • Free Plan: 1 AI-generated idea per month at no cost
• • Pro Plan: £5.99/month, 100 ideas per month, includes a 7-day free trial
• • Team Plan: £49/month, 500 ideas per month, no trial

4.2 Billing and Payment

Subscriptions are processed through Paddle. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring monthly basis. All fees are non-refundable except as required by law.

4.3 Free Trials

The Pro Plan includes a 7-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, you will automatically be charged the monthly subscription fee.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of the period you have paid for.

4.5 Price Changes

We reserve the right to modify our pricing at any time. We will provide at least 30 days' notice before any price changes take effect for existing subscribers.

5. Usage Limits and Fair Use

Your subscription plan includes monthly usage limits for AI-generated ideas. Limits reset on the first day of each calendar month. Unused ideas do not roll over to the next month. We reserve the right to enforce fair use policies and may suspend accounts that abuse the Service or attempt to circumvent usage limits.

6. Intellectual Property Rights

6.1 Our Rights

The Service, including its design, code, features, and content (excluding user-generated content), is owned by Vidito and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

6.2 Your Content

You retain all rights to the content you provide to the Service (channel information, video data, etc.). By using the Service, you grant us a limited, non-exclusive license to use, store, and process your content solely for the purpose of providing the Service to you.

6.3 Generated Ideas

You own the video ideas generated by the Service for your use. However, AI-generated content may be similar to ideas generated for other users, and we do not guarantee uniqueness or copyright protection for generated ideas.

7. User Conduct

You agree not to:

• • Use the Service for any illegal or unauthorized purpose
• • Violate any laws in your jurisdiction
• • Infringe upon the rights of others
• • Upload malicious code or attempt to compromise the Service's security
• • Scrape, data mine, or reverse engineer the Service
• • Resell or redistribute the Service or generated content
• • Use the Service to generate harmful, defamatory, or illegal content
• • Create accounts using automated means or under false pretenses

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT:

• • The Service will be uninterrupted, secure, or error-free
• • The results obtained from the Service will be accurate or reliable
• • Generated ideas will result in successful videos or increased views
• • Any errors in the Service will be corrected

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VIDITO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR £100, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Vidito and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another party.

11. Data Protection and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

12. Third-Party Services

The Service integrates with third-party services including Clerk (authentication), Paddle (billing), Supabase (database), Vercel (hosting), and OpenAI (AI generation). Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for the availability, functionality, or policies of third-party services.

13. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vidito regarding the Service and supersede all prior agreements and understandings.
